1. Introduction

Welcome to Jinimate ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our AI‑powered merchant assistant platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering as a merchant, you represent that you have the authority to bind your business to these Terms.

3. Description of Service

JINIMATE provides an automated assistant that interacts with your customers via social media messaging (Facebook, Instagram, WhatsApp), captures orders, and optionally books courier pickups through third‑party courier services. We do not handle payments or process financial transactions at this stage.

4. Merchant Responsibilities

• You are responsible for the accuracy of all product information, pricing, and inventory data provided to the AI.
• You must ensure that your use of the Service complies with all applicable laws, including data protection regulations.
• You are solely responsible for fulfilling orders, handling customer service escalations, and managing any disputes with customers or couriers.
• You agree to maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use.

5. Fees and Payments

Currently, the Service is offered free of charge during the MVP phase. We reserve the right to introduce fees in the future with prior notice. Continued use after such changes constitutes acceptance of the new fees.

6. Third‑Party Services

Our Service integrates with third‑party couriers, messaging platforms, and automation tools. We do not control these third parties and are not responsible for their actions, errors, or interruptions. Your use of their services is subject to their respective terms.

7. Intellectual Property

All content, features, and functionality of the Service (including software, designs, logos, and text) are owned by JINIMATE or its licensors and are protected by intellectual property laws. You may not copy, modify, or reverse‑engineer any part of the Service without our prior written consent.

8. Data Privacy

Your collection and use of customer data through the Service must comply with our Privacy Policy and all applicable privacy laws. You are responsible for obtaining any necessary consents from your customers.

9. Prohibited Activities

You may not use the Service to:

• Violate any law or regulation.
• Infringe the rights of others.
• Distribute malware or engage in phishing.
• Interfere with the proper functioning of the Service.
• Offer prohibited or illegal products.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JINIMATE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE PAST SIX MONTHS.

12. Indemnification

You agree to indemnify and hold harmless JINIMATE and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and without prior notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes on our website or via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
